A good friend once said, “We’re only warming up.”
That feels true today — because this isn’t about attacking any bank. It’s about ensuring truth, fairness, and balance in how information is shared.
Recently, we reviewed the Lloyds Banking Group Fixed Income Investor Presentation (20 February 2025). Page 8 quietly notes:
“Lending excludes securitisation.”
It’s a small phrase with big implications.
To investors, it clarifies that the bank’s lending figures exclude assets sold off through securitisation — transactions where loans are packaged and transferred to investors. Those investors are briefed, in detail, about risk transfer mechanisms, synthetic structures, and capital benefits.
Yet, for 17 years, many customers affected by those very same transactions — the homeowners, small businesses, and everyday savers whose loans were securitised — have often had no clear disclosure, no explanation of how those deals affected their rights, or whether their contracts remained with the same lender.
The bank’s own investor deck proudly discusses:
- Synthetic risk transfers worth around ÂŁ8 billion in 2024
- Capital efficiency improvements through off-balance-sheet structures
- Derisking and capital generation benefits
All of which are legitimate in principle — but meaningful only when all stakeholders can see the same picture.
At the end of the presentation, the disclaimer reminds readers that it’s “for information purposes only” and “does not purport to be comprehensive.”
That may satisfy investor regulation, but it raises a deeper ethical question:
Shouldn’t the same transparency afforded to investors also be extended to the customers whose loans underpin those profits?
